These Terms of Service govern your access to and use of BlynQ.ai, including our website, platform, AI agents, workflows, connected tools, software, content, features and services.

By creating an account, using BlynQ.ai, connecting a third party tool, uploading content, or subscribing to a plan, you agree to these Terms. If you are using BlynQ.ai on behalf of a business or organisation, you confirm that you have authority to accept these Terms on its behalf.

These Terms should be read together with our Privacy Policy and any plan, order form, enterprise agreement, data processing agreement, or other written agreement we enter into with you.

1. The Digital Workforce Agreement

TL;DR Summary

You are using an AI team, not hiring human employees.

BlynQ provides a software platform that gives users access to AI agents designed to assist with business tasks such as sales, marketing, finance, operations, customer communication, administration, planning, analysis and workflow support.

Our AI agents can help create outputs, suggest actions, process uploaded files, interact with connected tools, and support business workflows. However, they are software based assistants. They are not human employees, consultants, lawyers, accountants, financial advisers, tax advisers, medical professionals, or regulated professionals.

You remain responsible for:

  1. Reviewing and approving outputs before relying on them.
  2. Making final business decisions.
  3. Ensuring outputs are accurate, lawful and appropriate for your use case.
  4. Managing your connected tools and permissions.
  5. Complying with all laws, regulations, platform rules and third party terms that apply to your business.

2. Eligibility and Account Registration

Use your real details and protect your account.

To use BlynQ, you must be legally able to enter into these Terms. If you use BlynQ on behalf of a business, you represent that you are authorised to bind that business to these Terms.

You agree to provide accurate, current and complete account information. You are responsible for maintaining the confidentiality of your login details and for all activity that occurs under your account.

You must not share your account credentials with unauthorised users or allow anyone else to access BlynQ through your account unless your subscription permits it.

You must notify us promptly if you believe your account has been compromised or used without permission.

3. Subscription, Plans and Task Credits

Pay for the team, get the results.

BlynQ offers monthly, annual and enterprise plans. Your access to agents, features, integrations, usage limits, task volume, storage, connected tools and specialist capabilities depends on your selected plan.

By subscribing to a paid plan, you authorise us or our payment processor to charge your selected payment method for recurring fees, applicable taxes and any additional charges associated with your plan.

Unless stated otherwise:

  1. Subscriptions renew automatically until cancelled.
  2. Fees are charged in advance.
  3. Payments are not refundable except where required by law or expressly stated in your plan or enterprise agreement.
  4. Unused task credits do not roll over to future billing periods.
  5. Downgrades, cancellations or failed payments may reduce or suspend access to agents, features, stored data, workflows or connected services.

We may change pricing, plan limits or included features from time to time. Where required by law, or where a change materially affects your paid subscription, we will provide reasonable notice before the change takes effect.

4. AI Outputs and Human Review

TL;DR Summary

AI can be helpful, but it can also be wrong.

BlynQ uses artificial intelligence and machine learning technologies. Outputs may be incomplete, inaccurate, outdated, duplicated, biased, unsuitable, or not appropriate for your intended purpose.

You agree that:

  1. You must not treat BlynQ outputs as the sole source of truth.
  2. You must review outputs before using, publishing, sending, relying on, or acting on them.
  3. You are responsible for checking facts, numbers, recommendations, legal positions, financial calculations, tax assumptions, customer communications and operational instructions.
  4. BlynQ does not guarantee that outputs will be unique. Other users may receive similar or identical outputs.
  5. BlynQ outputs do not represent the views, opinions, guarantees or commitments of BlynQ.

You must use human review where outputs may affect customers, employees, suppliers, legal rights, financial decisions, health, safety, employment, housing, credit, insurance, compliance, or any other material business or personal outcome.

5. No Professional Advice

TL;DR Summary

BlynQ can help you think, draft and organise, but it is not a professional adviser.

BlynQ may generate content relating to business strategy, marketing, sales, finance, operations, legal concepts, customer service, hiring, productivity and other business topics. This content is for general assistance only.

BlynQ does not provide legal, accounting, tax, financial, investment, medical, employment, compliance, insurance, engineering or other regulated professional advice.

You are responsible for obtaining advice from appropriately qualified professionals before relying on BlynQ outputs for regulated, high risk, legal, financial, tax, employment, health, safety, compliance or material business matters.

6. Connected Tools and Authorised Actions

TL;DR Summary

You control what tools you connect and what actions agents can take.

BlynQ may allow you to connect third party tools such as email, calendar, CRM, payment, document, messaging, analytics, accounting, storage, ecommerce, project management or other business systems.

When you connect a tool, you authorise BlynQ to access, read, process, create, update, send, retrieve or sync information from that tool according to the permissions you grant and the settings you configure.

Depending on your configuration, BlynQ agents may be able to:

  1. Draft or send emails.
  2. Create or update calendar events.
  3. Read or summarise documents.
  4. Generate quotes, proposals or invoices.
  5. Update CRM records or customer notes.
  6. Create tasks or reminders.
  7. Analyse files, screenshots, images, PDFs or spreadsheets.
  8. Trigger workflows or recommendations.

You are responsible for reviewing tool permissions, setting appropriate controls, and ensuring any action taken through BlynQ is authorised, accurate and lawful.

BlynQ is not responsible for losses caused by incorrect tool setup, excessive permissions, user error, third party tool failure, incorrect data, or automated actions you enable.

7. User Content and Business Data

You own your data, but you must have the right to use it.

You may upload, enter, connect, submit, provide or make available text, prompts, files, screenshots, images, documents, PDFs, spreadsheets, emails, calendar data, customer data, business records, tool data and other information to BlynQ. This material is called User Content.

You retain ownership of your User Content. You grant BlynQ a limited right to host, process, transmit, display, copy, transform, analyse and use User Content as necessary to provide, secure, maintain, improve and support the service.

You represent and warrant that:

  1. You have all rights, licences, consents and permissions required to provide User Content to BlynQ.
  2. Your User Content does not violate any law, third party right, privacy obligation, confidentiality obligation or intellectual property right.
  3. You will not upload sensitive, regulated, confidential or personal data unless you have the legal right to do so and your plan or agreement allows that use.
  4. You are responsible for complying with privacy, data protection, employment, consumer, marketing, spam, tax, record keeping and other laws that apply to your business.

8. Privacy and Data Processing

We process data to provide the service.

Our collection, use, storage and disclosure of personal information is described in our Privacy Policy.

By using BlynQ, you acknowledge that User Content and account information may be processed by BlynQ, its affiliates, service providers, infrastructure providers, AI model providers, payment processors and connected third party tools, as required to provide and operate the service.

If you use BlynQ for business purposes and provide personal information about customers, employees, contractors, prospects or other individuals, you are responsible for providing required notices, obtaining required consents, and complying with applicable privacy and data protection laws.

Enterprise customers may require additional data protection terms, which should be agreed in writing.

9. Intellectual Property

You own your inputs and outputs. BlynQ owns the platform.

As between you and BlynQ:

  1. You retain ownership of your User Content.
  2. To the extent permitted by law, you own the outputs generated for your account from your prompts, data and instructions.
  3. BlynQ retains all rights, title and interest in the BlynQ platform, software, code, workflows, agent logic, system designs, prompts, templates, models, orchestration layers, documentation, interfaces, branding, know how, product features and underlying technology.

You may use outputs for your lawful business purposes, subject to these Terms and any third party rights or restrictions that may apply.

You acknowledge that AI outputs may not be unique and that similar or identical outputs may be generated for other users.

You must not copy, reproduce, modify, reverse engineer, resell, scrape, distribute, frame, clone, benchmark for competitive purposes, or create derivative works from the BlynQ platform or underlying technology unless we expressly allow it in writing.

10. Third Party AI Models and Services

TL;DR Summary

BlynQ may use other AI providers and connected tools.

BlynQ may use third party AI models, infrastructure providers, APIs, software, data processors and connected tools to provide the service. These may include providers such as OpenAI, Anthropic, Google, Microsoft, hosting providers, payment processors and other technology partners.

Third party services may be subject to their own terms, policies, rate limits, outages, model changes, privacy rules, data handling rules and usage restrictions.

BlynQ is not responsible for third party services, third party outputs, third party outages, third party data loss, third party security incidents, or changes made by third party providers.

We may add, remove, replace or change third party providers where reasonably necessary to operate, improve, secure or maintain the service.

11. Acceptable Use

Keep it legal, ethical and safe.

You must not use BlynQ to:

  1. Break the law or encourage others to break the law.
  2. Generate, send or support spam, phishing, fraud, scams or deceptive communications.
  3. Impersonate another person, business or organisation.
  4. Violate intellectual property, privacy, confidentiality, publicity or contractual rights.
  5. Upload content you do not have the right to use.
  6. Create malware, spyware, credential theft, harmful code or abusive automation.
  7. Harass, threaten, abuse, exploit, discriminate against, or harm others.
  8. Generate illegal, sexually exploitative, hateful, violent, extremist, defamatory or otherwise harmful content.
  9. Make decisions about individuals that could have legal or material effects without proper human review and legal compliance.
  10. Misrepresent AI generated content as human generated where doing so would be deceptive, unlawful or harmful.
  11. Overload, disrupt, damage, bypass, interfere with, or circumvent BlynQ systems, usage limits, safety controls or security measures.
  12. Reverse engineer, decompile, extract, copy, scrape or misuse BlynQ models, workflows, prompts, agent logic or platform code.
  13. Use BlynQ to develop or train competing AI models or competing agent platforms without our written permission.
  14. Use BlynQ in breach of sanctions, export control laws or trade restrictions.

We may suspend or terminate accounts that violate this section, without refund where permitted by law.

12. Service Availability and Maintenance

TL;DR Summary

We aim to be reliable, but no platform is perfect.

We aim to provide a reliable and available service. However, BlynQ may be unavailable, interrupted, delayed, degraded or limited from time to time due to maintenance, updates, security issues, provider outages, internet disruptions, customer configuration issues, high demand, force majeure events or other circumstances.

Any uptime target, service level, support commitment or priority handling applies only if expressly included in your plan, order form or enterprise agreement.

BlynQ does not guarantee that the service will be uninterrupted, error free, secure, accurate, or available at all times.

13. Suspension and Termination

TL;DR Summary

You can stop using BlynQ. We can suspend misuse or risk.

You may stop using BlynQ at any time. You may cancel your paid subscription according to the cancellation process available in your account or plan terms.

We may suspend, restrict or terminate your account or access to the service if:

  1. You breach these Terms.
  2. You fail to pay fees when due.
  3. Your use creates legal, security, operational, reputational or commercial risk.
  4. Your account appears compromised or misused.
  5. We are required to do so by law, court order, regulator, payment processor or third party provider.
  6. You use BlynQ in a way that may harm BlynQ, other users, third parties, or the integrity of the service.

On termination, your right to access BlynQ will end. We may delete or retain User Content according to our Privacy Policy, data retention practices, legal obligations, backup procedures and any applicable enterprise agreement.

14. Feedback

We can use ideas you share with us.

If you provide feedback, suggestions, ideas, improvements, feature requests or comments about BlynQ, you grant us the right to use them without restriction, compensation or obligation to you.

15. Disclaimers

BlynQ is provided as is.

To the maximum extent permitted by law, BlynQ and its services are provided on an as is and as available basis.

We disclaim all warranties, representations and guarantees, whether express, implied, statutory or otherwise, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, non infringement, security, quiet enjoyment, and suitability for your business needs.

We do not warrant that:

  1. The service will be uninterrupted, secure or error free.
  2. Outputs will be accurate, complete, lawful, reliable or suitable.
  3. User Content will never be lost, altered, accessed or corrupted.
  4. Connected tools will work without interruption or error.
  5. Third party AI models or services will remain available or unchanged.
  6. BlynQ will meet every business, regulatory or technical requirement you may have.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, statutory warranty, or other right that cannot lawfully be excluded.

16. Limitation of Liability

Our liability is limited to the maximum extent allowed by law.

To the maximum extent permitted by law, BlynQ, its affiliates, officers, employees, contractors, suppliers, licensors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, including loss of profits, revenue, goodwill, business opportunity, data, customers, reputation, use, savings, contracts or anticipated benefits.

To the maximum extent permitted by law, BlynQ will not be liable for losses arising from:

  1. Your reliance on AI outputs.
  2. Your failure to review outputs.
  3. Incorrect, incomplete or outdated data provided by you or third parties.
  4. Connected tool settings, permissions or failures.
  5. Automated actions enabled by you.
  6. Third party AI model outputs, outages or changes.
  7. Unauthorised account access caused by your failure to protect credentials.
  8. Use of BlynQ in breach of these Terms.

To the maximum extent permitted by law, BlynQ's total aggregate liability for all claims relating to the service will not exceed the amount you paid to BlynQ for the service giving rise to the claim in the 12 months before the event giving rise to liability.

If you have not paid BlynQ for the service, BlynQ's total aggregate liability will be limited to AUD 100, to the maximum extent permitted by law.

17. Indemnity

If your misuse causes a claim, you are responsible.

If you use BlynQ on behalf of a business or organisation, you agree to indemnify and hold harmless BlynQ, its affiliates, officers, employees, contractors, suppliers, licensors and service providers from and against any claims, losses, damages, liabilities, penalties, fines, costs and expenses, including reasonable legal fees, arising from or related to:

  1. Your use of BlynQ.
  2. Your User Content.
  3. Your outputs or business use of outputs.
  4. Your connected tools and permissions.
  5. Your breach of these Terms.
  6. Your breach of any law, regulation, third party right, privacy obligation or third party terms.
  7. Your communications with customers, prospects, employees, suppliers or other third parties using BlynQ.

18. Changes to the Service and Terms

BlynQ will evolve over time.

We may update, change, suspend, remove, replace or discontinue parts of BlynQ, including agents, models, workflows, integrations, plans, pricing, limits, features, user interfaces and third party providers.

We may update these Terms from time to time to reflect changes in law, regulation, technology, security, provider requirements, business operations or the service itself.

Where required by law, or where changes materially affect your rights or paid subscription, we will provide reasonable notice. If you continue using BlynQ after updated Terms take effect, you agree to the updated Terms. If you do not agree, you must stop using the service.

19. Confidentiality

Protect confidential information.

Each party may receive confidential information from the other. Confidential information includes non public business, technical, financial, customer, product, security, commercial, strategic or operational information.

The receiving party must use reasonable care to protect confidential information and must only use it for purposes related to the service, unless disclosure is required by law or authorised in writing.

This section does not apply to information that is public, already known without restriction, independently developed, or lawfully received from a third party.

20. Copyright and Intellectual Property Complaints

If you believe content on BlynQ infringes your intellectual property rights, please contact us with details of the alleged infringement, the material involved, your contact information, and proof of your authority to act on behalf of the rights holder.

We may remove or disable content, restrict access, or terminate repeat infringers where appropriate.

21. Governing Law and Disputes

Unless another written agreement says otherwise, these Terms are governed by the laws of New South Wales, Australia.

The parties agree to submit to the courts of New South Wales, Australia, unless another dispute resolution process is required by applicable law or agreed in writing.

Before starting formal proceedings, each party agrees to try to resolve disputes in good faith by providing written notice of the dispute and allowing a reasonable period for discussion.

22. General Terms

You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms to an affiliate, successor, acquirer, or as part of a merger, acquisition, restructure, sale of assets or similar transaction.

If any part of these Terms is found to be invalid or unenforceable, the remaining parts will continue to apply.

Our failure to enforce a provision does not mean we waive our right to enforce it later.

These Terms, together with any referenced policies, plan terms, order forms, enterprise agreements or written addendums, form the entire agreement between you and BlynQ regarding the service.
